>> Ai Sarah: So I feel like I should listen to this one just for that. Like,

how does that. How does that happen? Right. I know.

Speaker:

>> Ai Westly: Yeah'like that's quite a career trajectory.

Speaker:

>> Ai Sarah: I know. That's kind of. That's a wild ride, right?

>> Ai Westly: Yeah. Yeah. I'm intrigued.

>> Ai Sarah: So, yeah, I mean, that'he's coming at this from a lot of different

directions, right?

>> Ai Westly: Yeah. A lot offectives.

>> Ai Sarah: Um, and he really hits

on right away this idea

that, like, you can do everything.

Speaker:

>> Ai Sarah: But, like, a single unexpected event could, like,

wipe you out.

Speaker:

>> Ai Westly: Totally.

>> Ai Sarah: And he uses this example of, like, uh,

imagine, like, you have a rental property

and there's a fire and someone gets hurt,

and now you're facing this lawsuit that could wipe

Speaker:

out your life savings.

Speaker:

>> Ai Westly: Yeah. And you're, you know, and you're thinking, well, I

Speaker:

have insurance for that.

Speaker:

>> Ai Sarah: Right.

Speaker:

>> Ai Westly: And that's the thing is, like, a lot of times, insurance isn't going to cover

Speaker:

everything.

Speaker:

>> Ai Sarah: Exactly. Yeah. And that's where asset, uh,

Speaker:

protection comes in. And.

Speaker:

>> Ai Westly: Yeah. That's why this is so important. I think people, you know,

Speaker:

they think, oh, I'm covered. I have insurance. I don't need to worry about that kind of

Speaker:

stuff. But this really kind of, like,

Speaker:

you know, opens your eyes to the fact.

Speaker:

>> Ai Sarah: That, uh, you could overcomplicate it, too.

Speaker:

>> Ai Westly: Right?

Speaker:

>> Ai Sarah: Yeah, he talks about that, too.

Speaker:

>> Ai Westly: Yeah. Yeah.

>> Ai Sarah: So, uh, let's dive into that.

>> Ai Westly: Okay.

So, yeah, let's get into, like, the nuts and bolts of, like, what is

an llc.

Speaker:

>> Ai Sarah: Okay.

Speaker:

>> Ai Westly: Like how does that actually work?

Speaker:

>> Ai Sarah: Yeah.

Speaker:

>> Ai Westly: So, um, Feeniac talks

Speaker:

about this idea of like a risk bucket. It's like, okay,

Speaker:

you set up an llc.

Speaker:

>> Ai Sarah: Mhm.

Speaker:

>> Ai Westly: You put a certain amount of money into that llc that's

Speaker:

like in your bucket.

Speaker:

>> Ai Sarah: Okay.

Speaker:

>> Ai Westly: And so like, let's say you put $100,000 into an

Speaker:

LLC for your restaurant or something. If your business

Speaker:

gets sued.

Speaker:

>> Ai Sarah: Mhm.

Speaker:

>> Ai Westly: Even if they're suing you for a million dollars, the most

Speaker:

you're gonna lose is that $100,000.

Speaker:

>> Ai Sarah: Okay.

Speaker:

>> Ai Westly: That's in the bucket.

Speaker:

>> Ai Sarah: I see.

Speaker:

>> Ai Westly: So your personal assets outside

Speaker:

of that are protected.

Speaker:

>> Ai Sarah: So it's kind of like a firewall.

Speaker:

>> Ai Westly: It is like a firewall between your.

Speaker:

>> Ai Sarah: You personally and your business. Yeah, that makes

Speaker:

sense.

Speaker:

>> Ai Westly: Yeah. So. And the states actually like, they want you to do

Speaker:

this.

Speaker:

>> Ai Sarah: Really?

Speaker:

>> Ai Westly: Yeah. Because it encourages entrepreneurship.

Speaker:

>> Ai Sarah: Would that make sense?

Speaker:

>> Ai Westly: Right. Because they're saying like, hey, we want you to start a business.

Speaker:

>> Ai Sarah: Yeah.

Speaker:

>> Ai Westly: But we're also going to give you these guardrails.

Speaker:

>> Ai Sarah: Yeah.

Speaker:

>> Ai Westly: So if things go wrong.

Speaker:

>> Ai Sarah: Yeah. If you go belly up.

Speaker:

>> Ai Westly: Ah. You don't lose everything.

Speaker:

>> Ai Sarah: You don't lose everything.

Speaker:

>> Ai Westly: It's not like you're bed in the farm every time you

Speaker:

start a business.

Speaker:

>> Ai Sarah: Yeah. Right. And that can be scary. Right.

Speaker:

Like who wants to risk everything?

Speaker:

>> Ai Westly: Like uh, it'like uh, it's like going to the

Speaker:

casino and putting all your chips on one bet every time.

Speaker:

>> Ai Sarah: Every time. Exactly. Who wants to live like that?

Speaker:

So. Yeah, yeah.

Speaker:

>> Ai Westly: So that makes sense.

Speaker:

>> Ai Sarah: But he also has these warnings about, um.

Speaker:

>> Ai Westly: Oh yeah.

Speaker:

>> Ai Sarah: About taking asset protection too far.

Speaker:

>> Ai Westly: Well, yeah. I mean, how, how do you take it too far?

Speaker:

>> Ai Sarah: Right. Well, he talks about these schemes you

Speaker:

see online.

Speaker:

>> Ai Westly: Oh yeah.

Speaker:

>> Ai Sarah: Like, you know, like the ads and stuff. Like, oh, become,

Speaker:

you know.

Speaker:

>> Ai Westly: Yeah. Be invisible.

Speaker:

>> Ai Sarah: Invisible to creditors.

Speaker:

>> Ai Westly: Yeah, yeah, yeah.

Speaker:

>> Ai Sarah: And he's like, uh, you know, it.

Speaker:

>> Ai Westly: Is that all about, like, that's like.

Speaker:

>> Ai Sarah: Having a home

Speaker:

security system with aotat and

Speaker:

alligators.

Speaker:

>> Ai Westly: Like sometimes you just need to lock on your door.

Speaker:

>> Ai Sarah: Yeah. Keeppt it simple, you know. Ye.

Speaker:

>> Ai Westly: And he actually talks about a Supreme Court case.

Speaker:

>> Ai Sarah: Oh, wow.

Speaker:

>> Ai Westly: Where this company tried to shield all their

Speaker:

assets with all these LLCs

Speaker:

and it didn't hold up in court.

Speaker:

>> Ai Sarah: So the Supreme Court was basically like, nah, uh,

Speaker:

you're trying to hide stuff.

Speaker:

>> Ai Westly: Yeah. They were like, this is too much.

Speaker:

>> Ai Sarah: Right. Like, this is interesting.

Speaker:

>> Ai Westly: Yeah. So he's like, don't overcomplicate it.

Speaker:

>> Ai Sarah: Yeah. So it sounds like, I mean, obviously this is good

Speaker:

to have the llc, but you don't want to know

Speaker:

over engineer it.

Speaker:

>> Ai Westly: Right.

Speaker:

>> Ai Sarah: Yeah.

Speaker:

>> Ai Westly: And it's interesting because he talks about this client he

Speaker:

had who had, like, three different

Speaker:

LLCs. Some of them were esc Cor.

Speaker:

>> Ai Sarah: Okay.

Speaker:

>> Ai Westly: But they were all basically doing the same thing.

Speaker:

>> Ai Sarah: Oh.

Speaker:

>> Ai Westly: Just a different name.

Speaker:

>> Ai Sarah: So just different branding.

Speaker:

>> Ai Westly: Yeah. So he was like, why are you making this so

Speaker:

complicated for yourself?

Speaker:

>> Ai Sarah: Right. And I bet that's a nightmare at tax time.

Speaker:

>> Ai Westly: Oh, yeah.

Speaker:

>> Ai Sarah: Three different LLCs, some of them esc cor.

Speaker:

Oh, goodnesse.

Speaker:

>> Ai Westly: And also, like, you're just, like, raising red

Speaker:

flags, right?

Speaker:

>> Ai Sarah: Yeah, exactly. The more complicated you make it, the more likely you are

Speaker:

to, uh, get audited or whatever.

Speaker:

>> Ai Westly: And then he brings up this really interesting point.

Speaker:

He compares an LLC

Speaker:

operating agreement to a prenup.

Speaker:

Oh.

Speaker:

>> Ai Sarah: To a prenup. Okay. So this is if you

Speaker:

have a partner.

Speaker:

>> Ai Westly: Right?

Speaker:

>> Ai Sarah: Okay.

Speaker:

>> Ai Westly: Yeah. If you're in business with somebody else.

Speaker:

>> Ai Sarah: Right. Because you're not gonna get married to your business. Hopefully

Speaker:

not.

Speaker:

>> Ai Westly: Hopefully not.

Speaker:

>> Ai Sarah: And it's like, you know, you wouldn't.

Speaker:

>> Ai Westly: Yeah, but I see what you're saying.

Speaker:

>> Ai Sarah: You wouldn't go into a marriage without.

Speaker:

>> Ai Westly: A prenup without some sort of understanding.

Speaker:

>> Ai Sarah: Right. Should have that same level of forethought, uh,

Speaker:

clarity with your business partners.

Speaker:

>> Ai Westly: Right. So, you know, what happens if somebody wants out?

Speaker:

>> Ai Sarah: Right.

Speaker:

>> Ai Westly: What happens if, you know, God forbid, somebody

Speaker:

dies or, you know, gets sick or something

Speaker:

like that?

Speaker:

>> Ai Sarah: What are the spending limits? What if one partner goes

Speaker:

and, like, spends a bunch of money, commits the

Speaker:

business to something?

Speaker:

>> Ai Westly: Right. Without the other person's knowledge?

Speaker:

>> Ai Sarah: Without the other person being able actually know.

Speaker:

Contribute their half or whatever.

Speaker:

>> Ai Westly: Yeah. He gives an example of, like, these two business partners.

Speaker:

>> Ai Sarah: Oay.

Speaker:

>> Ai Westly: One of them committed the llc.

Speaker:

>> Ai Sarah: Uh-huh.

Speaker:

>> Ai Westly: To a real estate purchasek without the other

Speaker:

one even knowing.

Speaker:

>> Ai Sarah: Oh.

Speaker:

>> Ai Westly: So. And the other one couldn't even come up with the money.

Speaker:

>> Ai Sarah: Right. They didn't have it.

Speaker:

>> Ai Westly: Yeah.

Speaker:

>> Ai Sarah: So that's a recipe for

Speaker:

disaster.

Speaker:

>> Ai Westly: Yeah.

Speaker:

>> Ai Sarah: Yeah, I see your point.

Speaker:

>> Ai Westly: So, you know, it's, like, really important to have that clarity up

Speaker:

front.

Speaker:

>> Ai Sarah: Well, yeah. I mean, like, it's almost like anything else in life. Right. Like,

Speaker:

you want to have those difficult conversations up

Speaker:

front.

Speaker:

>> Ai Westly: Right.

Speaker:

>> Ai Sarah: So you can avoid the real problems down the road.

Speaker:

>> Ai Westly: Exactly.

Speaker:

>> Ai Sarah: Yeah. That's a really good point.

Speaker:

>> Ai Westly: Yeah. And so, um, I think this is a

Speaker:

really good point to just like, stop

Speaker:

and think, like, if you were

Speaker:

starting a business with somebody, like, what.

Speaker:

>> Ai Sarah: Are the things, what are your non negotiable.

Speaker:

>> Ai Westly: Right.

Speaker:

>> Ai Sarah: Yeah.

Speaker:

>> Ai Westly: That you absolutely need to have in that operating

Speaker:

agreement?

Speaker:

>> Ai Sarah: Right. Like, what would keep you up at night?

Speaker:

>> Ai Westly: Right. What are you worried about?

Speaker:

>> Ai Sarah: Ye.

Speaker:

>> Ai Westly: So then he goes on to this other example which I think is we'll

Speaker:

resonate with some parents out there. He's like, okay,

Speaker:

imagine your 21 year old kid wants

Speaker:

to start a lemonade stand business.

Speaker:

>> Ai Sarah: All right. So cute. Classic, right?

Speaker:

Yeah.

Speaker:

>> Ai Westly: It seems pretty harmless.

Speaker:

>> Ai Sarah: Right.

Speaker:

>> Ai Westly: Like, what's the worst that can happen?

Speaker:

>> Ai Sarah: Right. What are they gonna get sued for?

Speaker:

>> Ai Westly: Well, Feeniac is like,

Speaker:

even in that situation, u. Uh-huh. You need a business

Speaker:

plan.

Speaker:

>> Ai Sarah: Okay. I mean, yeah, fair enough. But like.

Speaker:

>> Ai Westly: Right.

Speaker:

>> Ai Sarah: It's a lemonade standak.

Speaker:

>> Ai Westly: But he's like, you know.

Speaker:

>> Ai Sarah: Yeah.

Speaker:

>> Ai Westly: What's the market?

Speaker:

>> Ai Sarah: Right.

Speaker:

>> Ai Westly: Like, what are your costs?

Speaker:

>> Ai Sarah: What's your customer acquisition strategy?

Speaker:

>> Ai Westly: Right. Like, how are you going to sell this lemonade?

Speaker:

>> Ai Sarah: Okay.

Speaker:

>> Ai Westly: And he uses this example of the food service industry in general.

Speaker:

>> Ai Sarah: Okay.

Speaker:

>> Ai Westly: He's like, it has a very high failure rate.

Speaker:

>> Ai Sarah: It does. Yeah. Restaurants are tough, right? Yeah.

Speaker:

>> Ai Westly: And there's a lot of unexpected complexities that can come up.

Speaker:

>> Ai Sarah: Like what?

Speaker:

>> Ai Westly: Like he mentioned that, like Whole Foods requires a

Speaker:

million dollar liability policy for vendors.

Speaker:

Lemonade standick or I getting a

Speaker:

barcode. Uh, getting shelf space.

Speaker:

>> Ai Sarah: Yeah, that's true.

Speaker:

>> Ai Westly: You know, it's like, I hadn't thought about that. Yeah. So it's

Speaker:

like even something as simple as a lemonade stand.

Speaker:

>> Ai Sarah: Right.

Speaker:

>> Ai Westly: Can get really complicated.

Speaker:

>> Ai Sarah: Yeah. It can snowball.

Speaker:

>> Ai Westly: Right. And he's basically saying, like, you should treat your

Speaker:

kids business idea.

Speaker:

>> Ai Sarah: Yeah.

Speaker:

>> Ai Westly: With the same seriousness as you would treat any other investment.

Speaker:

>> Ai Sarah: Right. Don't just blow it off because it's cute.

Speaker:

>> Ai Westly: Right?

Speaker:

>> Ai Sarah: Yeah.

Speaker:

>> Ai Westly: And it's interesting because he actually started his own

Speaker:

business when he was 14.

Speaker:

>> Ai Sarah: Oh, really?

Speaker:

>> Ai Westly: Yeah. He had a skateboard company.

Speaker:

>> Ai Sarah: Oh, wow. Okay. So he's been doing this for a while.

Speaker:

>> Ai Westly: Yeah.

>> Ai Sarah: Yeah.

>> Ai Westly: Called Happy Dog Industries.

Speaker:

>> Ai Sarah: I love that.

Speaker:

>> Ai Westly: And so Happy Dog Industries, you learned.

>> Ai Sarah: All these lessons about risk and reward.

>> Ai Westly: Uh, from a very young age.

Speaker:

>> Ai Sarah: I mean, that's the best way to learn, Right.

Speaker:

Like when you're young and you don't have that m much to lose.

>> Ai Westly: Right.

Speaker:

>> Ai Sarah: Yeah.

Speaker:

>> Ai Westly: And then he goes on to say, like, regardless of

Speaker:

what your business is, you have to be a salesperson.

Speaker:

>> Ai Sarah: Yeah. You know, so like, everybody's in

Speaker:

sales.

Speaker:

>> Ai Westly: Yeah.

Speaker:

>> Ai Sarah: Yeah.

Speaker:

>> Ai Westly: Like you could have the best product in the world.

Speaker:

>> Ai Sarah: Right.

Speaker:

>> Ai Westly: But if you can't sell it, you're.

Speaker:

>> Ai Sarah: Not gon toa get anywhere.

Speaker:

>> Ai Westly: You're not go going toa get anywhere.

Speaker:

>> Ai Sarah: Yeah.

Speaker:

>> Ai Westly: And he's like, assume everything goes

right. Like you create your product or service.

Speaker:

It's perfect. You have a website, you have marketing

Speaker:

materials.

Speaker:

>> Ai Sarah: Yeah.

Speaker:

>> Ai Westly: Now how Are you gon toa get people to buy it?

Speaker:

>> Ai Sarah: Okay. Yeah. How are youn toa close those deals?

Speaker:

>> Ai Westly: Yeah.

Speaker:

>> Ai Sarah: That's a good question to ask yourself.

Speaker:

>> Ai Westly: Right?

Speaker:

>> Ai Sarah: Yeah.

Speaker:

>> Ai Westly: And he's like, huh. You actually should start with the

Speaker:

sales side.

Speaker:

>> Ai Sarah: Interesting.

Speaker:

>> Ai Westly: And let everything else fall into place.

>> Ai Sarah: Huh.

>> Ai Westly: Hu so figure out that sales process

Speaker:

first.

Speaker:

>> Ai Sarah: Okay. So like figure out your

Speaker:

ideal customer, like who is going to buy

Speaker:

thisactly. And then figure out. Okay, how do I talk

Speaker:

to them? How do I reach them?

Speaker:

>> Ai Westly: And this ties into this concept of like

Speaker:

your network and building a network.

Speaker:

>> Ai Sarah: Mhm.

Speaker:

>> Ai Westly: Of what Malcolm Gladwell calls mavens.

Speaker:

>> Ai Sarah: Mavens.

Speaker:

>> Ai Westly: Yeah.

Speaker:

>> Ai Sarah: Or apostles.

Speaker:

>> Ai Westly: Your super fans.

Speaker:

>> Ai Sarah: Yeah. Like your early doctors.

Speaker:

>> Ai Westly: Yeah. The people who will spread the word for you.

Speaker:

>> Ai Sarah: Right.

Speaker:

>> Ai Westly: Okay.

Speaker:

>> Ai Sarah: Yeah. So basically like what does this all mean

for you?

Speaker:

>> Ai Westly: Right. Let's bring it back.

>> Ai Sarah: Yeah.

>> Ai Westly: We've talked about a lot.

>> Ai Sarah: Okay.

>> Ai Westly: What are like the takeaways here?

Speaker:

>> Ai Sarah: Yeah. What are the action items?

Speaker:

>> Ai Westly: So I think the first thing is like you have to

Speaker:

figure out like your risk tolerance.

Speaker:

>> Ai Sarah: Yeah.

Speaker:

>> Ai Westly: Like how much are you willing to risk?

Speaker:

>> Ai Sarah: How much skin are you willing to put in the game?

Speaker:

>> Ai Westly: Right.

Speaker:

>> Ai Sarah: Ye.

Speaker:

>> Ai Westly: And that's going to inform like how you structure your

Speaker:

business, what kind of investments you make and all of

Speaker:

that.

Speaker:

>> Ai Sarah: If you're very risk averse, maybe don't start

Speaker:

a food truck.

Speaker:

>> Ai Westly: Right. Yeah, something like that.

Speaker:

>> Ai Sarah: Exactlye. Um,

Speaker:

and then an LLC can be a really valuable

Speaker:

cool for asset protection.

Speaker:

But it's not a magic bullet.

Speaker:

>> Ai Westly: Right. It's not go goingna solve all your problems.

Speaker:

>> Ai Sarah: Right.

Speaker:

>> Ai Westly: Yeah.

Speaker:

>> Ai Sarah: And you also have to think about like even when

Speaker:

things are going well.

Speaker:

>> Ai Westly: Right.

Speaker:

>> Ai Sarah: What's the worst case scenario?

Speaker:

>> Ai Westly: Plan for the worst y hope for.

Speaker:

>> Ai Sarah: The best and then start simple.

Speaker:

Don't like overco compllicate things from the beginning.

Speaker:

>> Ai Westly: Yeah. Don't try to like you know, create some sort of super

Speaker:

complex legal structure.

Speaker:

>> Ai Sarah: Right.

Speaker:

>> Ai Westly: Yeah. When you're just starting out with your lemonade stand, keep it simple

and then.

Speaker:

>> Ai Sarah: You can scale up as you need to.

Speaker:

>> Ai Westly: Right. Exactly. Ye.

Good advice. Yeah. We're gonna pause

friendly. They have a really straightforward legal

>> Ai Sarah: And it's generally less expensive to form an

LLC in Wyoming than in some other state.

>> Ai Westly: And then as you grow, you can convert it to a

corporation later or domesticate it to Delaware.

strategic and adaptable.
